Terms and Conditions for Vocal Reel Service by The Accompanist

Postponement and Cancellation Policy:
​
For each cancellation (not including Vocal Reels Purchased By Gift Card), a fee will be charged at 25% of the original session cost, which will be deducted from the final cost of the vocal reel service. The new booking and payment must be arranged and completed within 48 hours of the client's first notification of cancellation - otherwise the policy is rendered void. For example, if booking a standard Vocal Reel:

a) First Cancellation: After the payment of the initial £51.25 deposit for a Standard Vocal Reel, the client will owe an additional £51.25, reducing the amount payable on the day to £102.50.
b) Second Cancellation: An additional £51.25 will be added, making the total amount payable on the day £51.25.
c) Third Cancellation: An additional £51.25 will be added, making the total amount payable on the day £0
d) Fourth Cancellation: After four cancellations, the policy is voided. Clients will be required to rebook their service, which involves paying a new initial deposit of £51.25, and the cancellation fee process will reset.

It is imperative to note that this cancellation policy is rendered void if a client cancels within 72 hours of their scheduled session without having provided the required backing tracks or other necessary materials. In such instances, the client will be required to remit a new deposit and, if the session was discounted, the full fee will apply.

Giveaways/Discounts: All customers benefiting from a discounted session must note that payments (except the initial deposit) must only be made in cash on the day of the session. These sessions do not benefit from the above cancellation policy applied to regular sessions. In the event of a cancellation of a discounted session, the discount is voided and the client is subject to the normal rates.​

Giftcards: Clients are entitled to one reschedule free of charge - after which a new deposit of £51.25 will be payable plus the remaining balance of £153.75 payable on the day.

Refunds: Client-Initiated Cancellations: Refunds are not available after the deposit has been made. Subsequent cancellations are subject to the additional fee, and no refunds will be provided for payments already made. b) Service-Initiated Rescheduling: If The Accompanist Vocal Reels needs to reschedule your appointment, refunds will be given at our discretion based on the circumstances and availability.3. ReschedulingFirst Postponement: Clients can reschedule their appointment once free of charge.Subsequent Rescheduling: Any further rescheduling will be treated as a cancellation and will incur the £50 fee per occurrence.No-Shows: Clients who do not show up for their scheduled appointment without prior notice will forfeit any payments made and will need to rebook their service with a new deposit and final payment.Exceptional Circumstances: We understand that emergencies can occur. For cancellations due to extraordinary circumstances (e.g., medical emergencies, extreme weather conditions), please contact us directly. We will assess each situation on a case-by-case basis to determine if any fees can be waived.

Media Usage: The Accompanist vocal reels reserves the right to use clips from your reel in online advertising unless otherwise specified in a written agreement by the client. The client hereby grants The Accompanist vocal reels a non-exclusive, royalty-free license to utilise such clips for promotional purposes.

Backing Tracks: Any request for recording or sourcing of backing tracks will incur additional charges, which will be communicated and agreed upon in a formal contract prior to the commencement of the service. Such charges shall be invoiced separately and shall be due and payable within the agreed-upon timeframe.

Song Limitation: Clients are limited to selecting up to five 1-minute length song cuts per vocal reel. This limitation is agreed upon to ensure the efficient utilization of resources and to maintain the integrity and effectiveness of the final product.

Listening, Assessment, and Order of Songs: Clients are required to listen back to and assess their audio and video within the 3-hour session. The client must also choose the take they will use during the session and determine the order of songs in their vocal reel before the end of the session. Failure to do so will result in an additional charge for sending over the additional audio/video material after the session, as agreed upon in the initial contract. This requirement ensures timely completion of the vocal reel and facilitates efficient post-production processes.

Revision Policy: After the vocal reel has been delivered to the client, one revision (reordering videos, changing audio, etc.) is allowed free of charge. Any subsequent revisions will incur an editing charge of £72 per hour, billed in 30-minute increments. This provision is agreed upon to delineate the scope of revisions and to ensure fair compensation for additional work beyond the initial agreement.

Modification of Terms and Conditions: The Accompanist vocal reels reserves the right to modify these terms and conditions at any time. Any changes will be communicated to clients in writing and will be effective immediately upon posting. Continued use of the vocal reel service after such modifications constitutes acceptance of the updated terms and conditions. This clause is included to provide notice to the parties of the possibility of future modifications to the agreement.

Confidentiality: The parties agree to maintain the confidentiality of any proprietary information disclosed during the provision of services under this agreement. This includes but is not limited to, client data, recording sessions, and creative concepts. Any breach of confidentiality shall entitle the non-breaching party to seek appropriate legal remedies.

Governing Law: This agreement shall be governed by and construed in accordance with the laws of The United Kingdom. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of The United Kingdom. The parties agree to submit to the jurisdiction of such courts and waive any objections to the venue or inconvenience of such forum.

Severability: If any provision of this agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the agreement, and the remaining provisions shall remain in full force and effect. The parties agree to negotiate in good faith to replace any invalid or unenforceable provision with a valid and enforceable provision that achieves, to the extent possible, the original intent of the agreement.

Indemnification: The client agrees to indemnify and hold harmless The Accompanist vocal reels, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable legal fees and expenses, arising out of or related to the client's use of the vocal reel service, including but not limited to, any breach of this agreement by the client.

Assignment: The client may not assign or transfer any rights or obligations under this agreement without the prior written consent of The Accompanist vocal reels. Any attempted assignment or transfer in violation of this provision shall be null and void.

Waiver: The failure of either party to enforce any provision of this agreement shall not constitute a waiver of such provision or any other provision of this agreement. No waiver of any provision of this agreement shall be effective unless in writing and signed by the party against whom enforcement of the waiver is sought.

Notices: Any notices required or permitted under this agreement shall be in writing and shall be deemed to have been duly given if delivered personally or sent by registered or certified mail, postage prepaid, or by recognized overnight courier service.

Survival: Any provisions of this agreement that by their nature should survive termination shall survive termination, including but not limited to, confidentiality obligations, indemnification, and governing law provisions.

Force Majeure: Neither party shall be liable for any failure or delay in performance under this agreement (other than for delay in the payment of money due and payable hereunder) to the extent said failures or delays are proximately caused by causes beyond that party's reasonable control and occurring without its fault or negligence, including, but not limited to, failure of suppliers, subcontractors, and carriers, acts of civil or military authorities, national emergencies, fire, flood, acts of God, insurrection, and war.

Entire Agreement: This agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties concerning the subject matter hereof.

Counterparts: This agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

Amendment: This agreement may be amended by The Accompanist Vocal Reels

Captions: The captions herein are included for convenience of reference only and shall be ignored in the construction or interpretation hereof.

Further Assurances: Each party shall, at the request and expense of the other party, execute and deliver such additional documents and take such further actions as may be necessary or appropriate to effectuate the purposes of this agreement.

Non-Disparagement: During the term of this agreement and thereafter, the client agrees not to make any disparaging remarks, comments, or statements about The Accompanist vocal reels or its affiliates, or their respective officers, directors, employees, agents, products, or services, whether orally or in writing, to any person or entity.

Successors and Assigns: This agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.

Relationship of the Parties: Nothing contained in this agreement shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise between the parties hereto, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.

Insurance: The client shall maintain appropriate insurance coverage for any liabilities arising out of or related to the provision of services under this agreement, including but not limited to, professional liability insurance, general liability insurance, and workers' compensation insurance, as applicable.

Termination: Either party may terminate this agreement upon written notice to the other party in the event of a material breach of this agreement by the other party that remains uncured for a period of [number] days following written notice of such breach.

Waiver of Jury Trial: Each party hereby waives any right to trial by jury in any action, suit, proceeding, or counterclaim arising out of or related to this agreement or the transactions contemplated hereby.

Construction: This agreement shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted.

Execution by Facsimile or Electronic Transmission: This agreement may be executed by facsimile or electronic transmission, and any such executed facsimile or electronic copy shall be deemed an original for all purposes.

Further Assurances: Each party shall, at the request and expense of the other party, execute and deliver such additional documents and take such further actions as may be necessary or appropriate to effectuate the purposes of this agreement.
By availing of The Accompanist vocal reel service, clients agree to adhere to these terms and conditions. Any exceptions or modifications to these terms must be agreed upon in writing by both parties. This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
